Zedinga Retention Suite (the "Service") is a Shopify embedded application provided by Zedinga ("we", "us"). By using the Service (as "Customer" or "you"), you agree to these Terms.
1. Service Description
Zedinga Retention Suite provides loyalty points, customer review management and email automation for Shopify stores. The Service is installed onto your store via the Shopify App Store or a custom distribution link.
2. Account and Billing
- 14-day free trial. After the trial ends, your approval is collected via the Shopify Billing API and recurring monthly billing begins.
- Plan changes (upgrade/downgrade) take effect immediately; billing is prorated.
- Spending Cap: The Customer sets a monthly ceiling (default $50). When the cap is exceeded, paid side-effects (email sending, etc.) are halted. Usage below the cap is always free.
- Refunds: Without an annual plan, mid-month cancellations do not refund the remaining days; the next month is not billed.
3. Acceptable Use
The following behavior leads to immediate termination without notice:
3.1. Spam and email abuse (zero-tolerance)
By default the Service sends from the shared sender domain @zedinga.ai. The deliverability reputation of this domain is a shared asset across all Customers. The following are strictly prohibited:
- Sending without consent — emailing customers without explicit active consent (CAN-SPAM, CASL, GDPR Art. 6)
- Purchased or scraped lists
- Misleading subject lines or from-names
- Sabotaging the unsubscribe flow (e.g., links that do not lead to the preference center)
- Sending at volumes that exceed 0.5% spam complaint rate
When the spam complaint threshold is breached, the account is auto-throttled. If a violation is confirmed on review, the account is permanently terminated and fees are not refunded.
3.2. General prohibited behavior
- Reverse engineering the Service or attempting to extract source code
- Automated requests that overload our infrastructure
- Attempting to access other Customers' data
- Using the Service for illegal content (e.g., illegal goods)
4. Customer Data and Ownership
- Customer / order / email data in your store belongs to you. We act as a data processor.
- Data Processing Agreement (DPA): The controller-processor relationship under GDPR Art. 28 and KVKK Art. 8 is governed by a DPA published at [zedinga.com/dpa], which forms an integral part of these Terms upon use of the Service. During beta the DPA is signed individually.
- On account closure a 60-day recovery window starts; during that time you may request a full JSON export of all your data or reinstall to continue.
- After 60 days personal data is permanently deleted or anonymized; records retained by legal obligation (the
gdpr_audittable, financial records under tax law) are kept beyond that period.
5. Service Availability (SLA)
- Starter / Growth: Best-effort, target 99.5% uptime. No SLA credits.
- Pro: 99.9% uptime target. Monthly downtime above 0.5% results in pro-rata monthly refund (on request).
- Maintenance windows: Pre-announced maintenance is excluded from SLA calculation.
6. Limitation of Liability
To the extent permitted by law:
- The Service is provided "as is". No warranty of fitness for a particular purpose.
- Our total liability is capped at the fees paid in the last 12 months.
- Indirect damages (lost profits, customers, reputation) are excluded.
Exceptions (liability not capped): Under TR Code of Obligations Art. 115 and equivalent EU/US principles, the cap does not apply to:
- Gross negligence or willful misconduct on our part
- IP infringement indemnification
- Breach of confidentiality obligations (specifically Section 4 and our Privacy Policy)
- Death or bodily injury
- Consumer rights that cannot be limited by law
7. Third-Party Services
The Service relies on the following third-party infrastructure:
- Vercel (compute hosting, US/EU)
- Supabase (Postgres, EU)
- Inngest (workflow orchestration, US)
- Resend (email delivery, US)
- Shopify (auth, webhooks, billing)
Their own ToS apply. Their outages or policy changes are outside our liability.
Shopify Partner Program precedence: If any provision of these Terms conflicts with the Shopify Partner Program Agreement or Shopify Acceptable Use Policy, Shopify provisions prevail — especially for billing refunds, store termination flow and app removal procedures.
8. Termination
- By the Customer: Uninstall from Shopify or terminate from account settings. The current billing period completes; no renewal.
- By us: Immediate termination for Section 3 violations. Otherwise, 30 days' notice.
9. Changes
These Terms may be updated periodically. Material changes are notified by email at least 30 days in advance.
10. Governing Law and Jurisdiction
Disputes arising from this agreement are governed by the laws of the Republic of Türkiye. Istanbul courts have jurisdiction.
